| Citi Cards Online Customer Agreement |
Article
1. Definitions
- "Citi Cards Online" (the "Services") means the account information and various other services provided via Internet to a holder (the "Customer") of the credit card issued by Citi Cards Japan, Inc. ("CCJ") upon the Customer's request.
- The Services are provided subject to the terms and conditions of this Agreement, as well as Citi Card Membership Agreement and other various rules and regulations set by CCJ.

Article
2. Services
- Contents of the Services will be separately disclosed by CCJ to the Customer. CCJ reserves the right to change the contents of the Services without prior notice.
- The Services will be available 24 hours a day, and 7 days a week. Provided, however, that any or all of the Services may be temporarily suspended or discontinued without prior notice, due to breakdown of the systems, or other necessary maintenance.
- CCJ shall not be liable for any damages suffered by the Customer due to changes in the contents of the Services or temporary suspension or discontinuance of the Services.

3. Passwords
- The Services will be made available for the first time upon acknowledgement of this Agreement and input by the Customer of his/her credit card number, the personal identification number for telephone transaction ("T-PIN") registered by the Customer, his/her date of birth and other information designated by CCJ. For the Services subsequently provided, the Customer shall designate a user ID and password. The Customer shall have a choice to cause his/her user ID and other information necessary to obtain the Services memorized in his/her terminal, in which case the Customer shall designate his/her user name.
- For the Services subsequently provided, CCJ is authorized to deem that the Customer (including its authorized agent; hereinafter the same) himself/herself has transacted the Services when the Passwords entered into the terminal are identical with those registered with CCJ based on his/her user ID. The Customer shall not disclose his/her credit card number, user ID or Passwords to any third party and shall be responsible to keep them in strict confidence.
- The Customer shall keep strict control of the information stored in his/her terminal and the Passwords at his/her own responsibility. If CCJ, upon following the prescribed procedure for verifying the identity of the Customer, deems a use of the Services to be a legitimate use of the Customer and thereby provides the Services, CCJ shall not be liable for any damages even in the event of an accident including without limitation the forgery, alteration, misuse or other unlawful use of the information stored in the terminal or the Passwords. Should any doubt arise regarding the unauthorized use of the information stored in the terminal or the Passwords, the Customer shall forthwith notify CCJ's Online Help Desk of such doubt.
- If the Customer wishes to change his/her user ID or password, he/she shall notify CCJ thereof in a prescribed manner via the terminal. CCJ reserves the right to suspend the use of any Passwords at its discretion without any notice to the Customer.

Article
4. E-mails
CCJ may distribute e-mails to give notice and provide information to the Customer at the e-mail account registered by the Customer with CCJ. The Customer may, through the Services or by any other means, request CCJ to suspend the distribution. Notwithstanding the foregoing, CCJ may distribute the e-mails when it determines that such distribution is important for the use of the Services by the Customer including without limitation in the case of giving notice of amendment to this Agreement. |
Article
5. Release from Responsibilities
- If the Services are delayed or become unavailable or there is an error or omission in the information sent by CCJ due to disturbance in the communications lines, or for other reasons, including without limitation a breakdown of the telecommunication devices or network or the interruption of the telephone service, or caused by internet service providers or browser software in providing the Customer with the Services, CCJ shall not be responsible for any damages arising therefrom.
- In case of wiretapping on public or exclusive telephone lines or other communication lines which results in the divulgence of the Passwords or information about the transactions of the Customer, CCJ shall not be responsible for any damages arising therefrom.
- CCJ does not make any warranties with respect to the correctness or adequacy of the information provided by CCJ in the Services. Therefore, in the event that any such information so provided proves to be incorrect or inadequate in any respect, CCJ shall not be responsible for any damages arising therefrom.
- CCJ shall not be responsible for any damages arising in connection with computer viruses or disturbance, etc. in relation thereto.
- CCJ shall not be responsible for any damages arising from the use of the Services, absent any negligence on its part.

Article
6. Termination of Services
- The Customer may terminate the use of the Services by prior notice thereof to CCJ. Provided, however, that the Customer may not terminate his/her membership with CCJ's credit card by such notice.
- If any one of the following events occurs with respect to the Customer, CCJ may, without any notice to the Customer, immediately terminate the provision of the Services hereunder to the Customer:
(i) the Customer breaches any provision herein or any other event occurs which reasonably necessitates CCJ's termination of the Services;
(ii) the Customer has defaulted all or any part of its indebtedness owed to CCJ;
(iii) the Customer has made fraudulent registration at his/her application for CCJ's card membership or subscription for the Services;
(iv) the Customer has ceased his/her card membership with CCJ; or
(v) CCJ determines that the Customer is no longer qualified for CCJ card membership.

Article
7. Amendments to this Agreement
CCJ may amend this Agreement at any time without prior notice to or consent of the Customer. The Customer who is not agreeable to the amendment may not receive the Services hereunder, and CCJ may cease providing the Services hereunder to the Customer without giving a prior notice to the Customer. |
Article
8. Agreement on Jurisdiction
In case that any lawsuit becomes necessary in connection with any transaction hereunder, the Tokyo District Court in Tokyo, Japan shall be the competent court. |
Article
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Japan. |
Article
10. Text
In case of any discrepancy between the Japanese and English texts of this Agreement, the Japanese text shall prevail. |
